General

Any request for intervention or order placed by the Customer (hereinafter referred to as “the Customer”) implies full and unreserved acceptance of the terms and conditions of sale of the company KRYOMATECH (hereinafter referred to as “KRYOMATECH”).

Only the following terms and conditions of sale shall apply. Any clause to the contrary contained in the Customer’s order, general terms and conditions of purchase or specifications shall be deemed null and void, unless previously accepted in writing by KRYOMATECH.

Control

An order shall not be deemed accepted by KRYOMATECH until confirmed in writing. Any cancellation or modification of an order by the Customer shall be notified in writing and shall be valid only after written acceptance by KRYOMATECH, which KRYOMATECH reserves the right to refuse.

Price

Prices for work carried out or to be carried out are always quoted. Our offers are in Euros, exclusive of tax. Our offers are valid for 1 month. Prices are those in force on the day of the order.

Payment

Unless otherwise agreed, our invoices are payable to our head office within 30 days of the invoice date, net, without discount. For orders over €5,000 excluding VAT, KRYOMATECH may request payment of a deposit of 45% of the total amount.

Any delay in payment will automatically entail, without the need for formal notice, the payment of late payment penalties by the Customer, set at three (3) times the legal interest rate in force, as well as a fixed indemnity of €40 for collection costs.

In the event of non-payment within the stipulated deadlines and 48 hours after a formal notice has remained unsuccessful, KRYOMATECH shall have the right to demand immediate payment of the outstanding balance, even if it has been the subject of an accepted bill of exchange, to demand payment before any intervention or delivery of goods, to suspend or cancel current orders, without prejudice to claiming damages and/or termination of the contract.

Delay

The intervention and supply lead times mentioned in our quotations are given as an indication only and begin on the day the order is fully validated. KRYOMATECH shall not be held liable for them. No compensation or indemnity of any kind whatsoever, for any reason whatsoever, may be considered in the event of late delivery.

We reserve the right to terminate all or part of our obligations in the event of force majeure. The above notion of force majeure is understood as defined by jurisprudence on the date of signature of the present contract.

Reservation of ownership

Delivered products remain the property of KRYOMATECH until full payment has been received. The price is the invoiced price, plus any costs and interest.

Service – Installation – Commissioning and other services

Only the conditions indicated in our commercial offers are valid.

Dispute

Any claim relating to an intervention must be submitted in writing within 48 hours of the intervention. In the absence of an amicable agreement, any dispute will fall within the exclusive jurisdiction of the Grenoble courts, even in the event of multiple claimants.
